Role Overview

As a Senior Legal Counsel, you will be responsible for overseeing legal compliance, contract management, litigation, and strategic legal initiatives. You will provide expert legal guidance on corporate governance, regulatory requirements, and business transactions while working closely with senior leadership and external legal advisors.

Key Responsibilities

Legal Compliance & Risk Management

• Conduct in-depth legal research to monitor regulatory changes and assess their impact on the company and its joint ventures.
• Implement and oversee compliance protocols, ensuring adherence to all applicable laws and internal policies.
• Conduct regular audits to identify legal risks and develop strategies to mitigate potential legal exposure.

Contract Management & Corporate Governance

• Draft, review, and negotiate contracts, agreements, and policies to align with corporate and legal standards.
• Collaborate with internal stakeholders to structure contracts that minimize risk while supporting business objectives.
• Ensure contracts reflect current regulatory requirements and best practices in corporate governance.

Litigation & Dispute Resolution

• Lead legal proceedings, including preparing documentation, coordinating with external counsel, and representing the company in dispute resolutions.
• Act as the primary liaison with external legal advisors, ensuring alignment with corporate legal strategies.
• Provide legal support in negotiations, settlements, and alternative dispute resolution processes.

Strategic Legal Advisory & Leadership

• Contribute to the development of corporate legal strategies, ensuring alignment with business goals.
• Advise senior leadership on legal risks, compliance issues, and regulatory developments.
• Lead cross-functional legal projects and initiatives, ensuring efficient execution and risk mitigation.

Financial Oversight & Compliance

• Oversee legal department budgeting and financial performance, ensuring cost-effective legal services.
• Develop and implement internal legal policies, processes, and procedures for efficiency and compliance.
• Monitor industry best practices and regulatory trends to enhance legal frameworks and corporate governance.

Qualifications & Experience

• Education: Bachelor's degree in Law, Business, or a related field (MBA preferred).
• Experience: Minimum 12 years in legal advisory roles within large organisations, with at least 5 years in senior leadership positions.
• Strong expertise in corporate, contract, and regulatory law, particularly in the energy, power, or infrastructure sectors.
• Proven track record of managing complex legal matters, including compliance, litigation, and negotiations.
• Experience leading legal teams and working with multi-disciplinary stakeholders.
• Proficiency in English is required; Arabic is a plus.
